POWER POINTS: Terms and Conditions
Participant - Denmans Power Points - Reward Scheme Terms and Conditions ("Terms")
Denmans Electrical Wholesalers Ltd ("Denmans") operates the Denmans Power Points Reward Scheme ("Scheme"). These Terms set out the basis on which the Scheme shall operate, including (without limitation) how Denmans' customers ("Customers") and their employees ("Participants") may participate in the scheme. A Participant is often referred to as "you" in these Terms.
Acceptance of these Terms on the Scheme website (www.peoplevalue.co.uk/Denmanspowerpoints/) ("Scheme Website") by the Participant shall create a contract between Denmans and the Participant incorporating these Terms.
The Scheme Website is owned and operated by People Value Limited, Company Number No 4516741, whose registered office is at Victor House, Wheatley Business Centre, Old London Road, Wheatley, Oxford, OX33 1XW ("PV").
The participation in the Denmans Power Points Reward Scheme and accumulation of Denmans Power Points ("Points") falls under these terms and conditions. The redemption of Points is subject to a separate contract concerning the redemption of points made between a Participant and PV, acting as principal and not as agent.
You may only join the Scheme by registering on the Scheme Website.
1. Please read the provisions set out in this document carefully and confirm your agreement to them before submitting your registration.
2. You may participate in Denmans Power Points using the username and password allocated to you.
3. You must at all times keep your password and customer username confidential and you must notify PV immediately of any unauthorised use of your Participant username or password, or of any breach of security known to you. Denmans or PV may require you to change your Participant username and/or password for security reasons at any time. If you wish to change your password you may contact us and do so.
4. You are responsible for all activities which occur under your customer username and password, save where such activities occur as a result of Denmans's or PV's negligence or fault.
5. The Scheme shall operate until such time as Denmans decides to terminate the Scheme. Denmans reserves the right to terminate the Scheme at any time and shall do so by notifying Participant in writing or by email. Should this occur, and with effect from the date of such termination, Participant shall no longer be eligible to accrue or redeem the points that Participant is or may be eligible by participation in this Scheme. Denmans reserves the right to vary or modify the Scheme as determined by Denmans in its absolute discretion.
6. Denmans may vary these Terms at any time. The current applicable Terms shall be available on the Scheme Website from time to time.
7. The Scheme is only open to Participants who are, at the relevant time, employees of Customers that are incorporated in the United Kingdom.
8. Denmans shall, in its sole discretion, determine who can and who cannot participate in the Scheme. Denmans may withdraw the right to participate in the Scheme to any Participant or group of Participants at any time without notice.
9. Participation is by invitation only. Notwithstanding that the Participant may have received an invitation to join the Scheme, the following criteria must be satisfied at all times during the period of Participant's participation in the Scheme (including, for the avoidance of doubt, as at the date of redemption of any Points):
a. Participant must personally be responsible for and make Qualifying Purchases (as defined below) from Denmans;
b. Participant must be at least 18 years old;
and c. The Customer has not advised Denmans that it does not wish its employees or any particular employee to participate in the Scheme.
10. You will be awarded Points at such rate and in respect of such purchases as Denmans may from time to time notify to you.
11. Participation is subject to such rules as may from time to time apply.
12. Points will not accrue unless Denmans is paid for the products in full, without deduction, set off or abatement, and on time.
13. Points will only accumulate in respect of Qualifying Purchases. A Qualifying Purchase shall be any purchase, net of VAT, settlement discount and rebate, of a Denmans product by the Customer other than purchases that Denmans may advise you from time to time that do not qualify for Points. Denmans shall be under no obligation to advise you that a purchase is not a Qualifying Purchase until it acknowledges an Order.
14. Denmans may award additional Points to Participants at its absolute discretion and as it deems appropriate.
15. The number of Points attributable to a Participant will be updated on Participant's Denmans Power Points Reward account (which may be accessed on the Scheme Website so as to monitor accumulated Points) ("Account") from time to time.
16. Points may be redeemed through the Scheme Website. The redemption of points will be a separate contract with PV or, if PV has appointed a third party vendor, with that third party vendor. The terms of sale applicable to the redemption of Points is available on the Scheme Website. Denmans shall have no liability to Participant arising out of or in connection with any redemption, or delayed or non-redemption of Points or any goods and/or services purchased or otherwise acquired or obtained by Participants from PV in connection with the Scheme. PV acts as principal and not as Denmans's agent in connection with the redemption of points and/or the sale of goods.
17. Denmans reserves the right to disqualify any Participant(s), and to treat all associated unredeemed Points as having expired (and Denmans shall not be liable to Participant for the expiry of such Points) without notice, if Denmans determines or suspects that:
a. Customer and/or Participant's participation in the Scheme, redemption or receipt of a reward, or the Scheme itself does not comply fully with all applicable laws, regulations, regulatory requirements or codes of practice;
b. Customer and/or Participant's participation in the Scheme, or redemption or receipt of a reward, does not comply fully with these Terms, or Customer and/or Participant is considered by Denmans to be ineligible to participate in the Scheme;
c. Participant has been abusive or offensive to any Denmans or PV personnel or has otherwise behaved in an unacceptable manner;
d. Customer and/or Participant has engaged in fraudulent or otherwise unlawful or dishonest conduct in accruing, claiming or redeeming Points or otherwise in connection with the Scheme;
or e. Participant has allowed third parties (including, without limitation, Denmans's competitors) to access his/her Account (including his/her username and/or password), and/or the Scheme Website.
18. Denmans may disqualify a Customer from participation in the Scheme for any reason and at any time, in which case all Participants that are employees of that Customer shall also be disqualified from participating in the Scheme. In this event, Participant(s) shall no longer be eligible to accrue or redeem Points with effect from the date of Customer's disqualification.
19. For the avoidance of doubt, if Participant is removed or disqualified from participation in the Scheme at any time, and for any reason, such Participant's Points shall expire (and Denmans shall not be liable to Participant for the expiry of such Points) and shall no longer be eligible for redemption.
20. All decisions made by Denmans in relation to the Scheme, including any decisions as to the entitlement to Points or rewards shall be made entirely by Denmans in its sole discretion and shall be final and binding in all respects.
21. Participant acknowledges that there may be tax and national insurance liabilities on both the Participant and the Customer consequent upon participation in the Scheme (including as a result of accruing and/or redeeming Points). The Participant shall notify the Customer and the tax authorities accordingly, shall be solely responsible for such liabilities and shall indemnify Denmans, PV and the Customer in respect of any such liabilities,(including any failure to deduct tax at source and any failure to pay employers national insurance contributions)
22. All copyright, trade marks, and other intellectual property rights in or in relation to the Scheme and any related materials, shall belong exclusively to Denmans. Participant shall not acquire any right, title or interest in or to any of such intellectual property rights as a result of or in connection with their participation in the Scheme.
23. Denmans shall, to the fullest extent permitted by law, have no liability to any Participant, in connection with the Scheme or Participants' participation in the Scheme (including, without limitation, in relation to any Points or any redemption of or redeemed Points) whether arising in or for breach of contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of revenue, loss of sales, loss of customers, loss of actual or anticipated profits, loss of anticipated savings, loss of goodwill, loss of reputation or any indirect or consequential loss, howsoever arising, whether such loss was foreseeable, foreseen or otherwise. Nothing in these Terms shall exclude Denmans's liability for fraud, or death or personal injury caused by its negligence, or any other liability which cannot be excluded or limited by law.
24. The Scheme may not be combined with any other scheme, incentive programme or other promotion of or in connection with Denmans and/or Denmans's products unless approved by Denmans in writing.
25. Participant may not issue any press release(s) or make any public announcement(s) relating to the Scheme or its participation in the Scheme without the prior written consent of a director of Denmans. Denmans may make informational references to the Scheme and Participant's participation therein in press releases without Participant's consent.
26. By participating in the Scheme you consent to Denmans contacting you by telephone, email or in writing concerning Denmans and any promotions it may from time to time run. Should you revoke this consent, your participation in the scheme will also terminate immediately.
27. Unless otherwise directed by Denmans, Participants shall address all correspondence and communications relating to the Scheme to Denmans at the address set out on the Scheme Website. Denmans assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, destruction or alteration of communications by Participant.
28. If any provision or part of a provision of these Terms is found to be invalid or unenforceable it shall in no way affect the validity or enforceability of the remaining terms.
29. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms except the Customer shall have the benefit of the indemnity contained in clause 21. Denmans may change these terms without Customer's consent.
30. These Terms are governed by English law and the parties irrevocably submit to the exclusive jurisdiction of the English courts in the event of a dispute arising.
31. This promotion is applicable to the UK, by invitation only.
32. This promotion is not open to any Government department, Public authority or Company whose trading terms expressly forbid such arrangements.
